Contract Terms

Services Included

Shadeflower Studios (“SFS”) will provide website maintenance services based on the package selected by the Client. Each plan includes a specified number of monthly service requests, limited to content modifications, general troubleshooting, software/plugin updates, monthly cleanup, and basic analytics review.

Note: Unused Service Requests and Content Modifications do not roll over into subsequent months. Each month’s allotment expires at the end of the billing cycle and resets on the first day of the following month.

All work beyond included requests will be billed at Shadeflower’s discounted hourly rate of $75/hour, unless otherwise agreed upon in writing.

Setup Fee

A one-time setup fee of $149 will be applied to all new maintenance clients or returning clients whose site has not been under active management by SFS for 12 months or more. If the site requires extensive repair or reorganization upon audit, SFS reserves the right to adjust the setup fee accordingly and will notify the Client in advance.

Service Requests

Service Requests must be submitted using the designated Service Request Form provided by SFS (found at www.shadeflowerdesigns.com/wmp-service-request). Each Service Request may include multiple tasks but should not exceed the scope of the Client’s plan. Turnaround time may vary depending on complexity and current workload, but most requests will be addressed within 3–5 business days.

Client Responsibility

Client agrees to provide timely and accurate materials, content, and access credentials as needed. This includes:

• Admin login credentials (or creating an admin user account for SFS)
• Hosting or domain access if required
• Payment processor access for e-comm clients (e.g. PayPal, Stripe, Shopify, SquareUp)
• Current logos, images, text, SKUs, and other relevant assets

Client is responsible for ensuring legal use of all content submitted. SFS is not liable for copyright violations, plagiarism, or unlicensed use of media.

Communication & Participation

Client understands that delays in response, missing content, or unapproved requests may impact timelines. SFS is not responsible for delays resulting from lack of participation.

Schedule Interruptions

SFS reserves the right to pause services due to illness, emergencies, holidays, or family leave. Whenever possible, Client will be notified in advance. If there is a prolonged pause in service, Client fees may be prorated or credited at the discretion of SFS.

Legal

This agreement does not guarantee specific results or uptime. While SFS will use best practices to maintain site health and performance, Client acknowledges the dynamic nature of the web and agrees that SFS is not liable for factors beyond its control (i.e., server downtime, plugin developer bugs, hosting issues, etc.).

Limit of Liability

Shadeflower Studios (SFS) will perform all services with reasonable care and skill; however, SFS makes no guarantees regarding uninterrupted service, security breaches, or protection against third-party hacks, malware, or server failures. SFS is not liable for any loss of data, business, revenue, or reputation resulting from downtime, cyberattacks, or technical issues beyond SFS’s control. It is the Client’s responsibility to maintain secure passwords and backup any critical content regularly. Additional recovery or repair work outside the scope of the maintenance agreement may incur additional fees.

Confidentiality & Non-Compete

SFS agrees to keep all proprietary or confidential information disclosed by the Client strictly confidential and not to share, reproduce, or repurpose this information outside of the maintenance project scope. Similarly, the Client agrees not to disclose internal processes, pricing, or materials created by SFS. Client further agrees not to contract with any third party for website maintenance or development services that directly copy or build upon custom work performed by SFS, without prior written consent.

Payments & Billing

Payments are due monthly via automated subscription (Stripe, Square, or other platform). A 3.5% processing fee applies to all credit card payments.

Alternate payment methods may be offered upon request.

Late or failed payments may result in a temporary suspension of service.

Subscription & Renewal Terms

This maintenance plan operates on a rolling month-to-month basis and automatically renews each month unless canceled by either party. Cancellation must be submitted in writing at least 7 days before the next billing cycle to avoid charges for the following month. Any changes to pricing, scope, or plan benefits will be communicated in writing with at least 30 days’ notice.

Termination

SFS reserves the right to terminate services if the working relationship becomes unproductive, abusive, or violates terms of this agreement. Any remaining billable hours or fees will be prorated and invoiced accordingly.

Modifications Included

Modifications, additions, and deletions to existing pages/content, including:

  • Company News
  • Text and Copyediting
  • Blog Posts
  • Photos & Videos
  • Hyperlinks (including social media buttons or widgets)
  • Forms (up to 10 fields)
  • Basic Meta Tags/SEO
  • Store Products *
  • Simple Store Settings *

If custom graphics, stock imagery, videos, or specialized coding is required, Shadeflower Studios will contact you as soon as possible with a quotation. Clients enrolled in a Website Maintenance Package will receive a discounted rate of $75 per hour.

* For eCommerce solutions already in place. Store Product updates are for current products on the site (deletions, edits, option changes, etc.). Examples of “simple store setting” alterations might include updating a Paypal address, shipping or tax changes, coupon codes, promotions and sales schedules, etc. New products are billed separately at $55 each.

Not Included

The services below are not included but are available at a discounted rate of $75 p/hour*.

  • eCommerce/store creation and/or payment integration
  • Page or post additions
  • Design modifications or total re-design
  • Graphic design
  • Specialized coding
  • Form/feedback creation exceeding 10 fields
  • Stock imagery and videos
  • Custom graphics
  • Training guides or videos
  • Third-party web hosting issues (i.e., downed site, etc.)
  • Domains, SSL, email or hosting management

*  To take advantage of this discounted rate, Client must be either 1) currently on a service plan for 3 continuous months, or 2) pay for 3 continuous months in advance.

 

Frequently Asked Questions:

What is the difference between a Content Modification and a Service Request?
A Service Request is what you would submit to make Content Modifications to your site. A maximum of 5 Content Modifications may be submitted per Service Request. 

Does Shadeflower Studios guarantee that my site won’t be breached?
Unfortunately, no. There is no company that can guarantee that (and if they do, they probably get around on flying pigs, too!). Botnets and hackers are getting more and more sophisticated all the time. It’s a bad guys versus the good guys on the Internet – but fortunately, there are a lot of good guys. Shadeflower works hard to keep on top of threats so that appropriate measures can be taken to protect your site.

How often are plugin, theme, and core updates released?
Depending on the plugins installed, updates and patches are sometimes released weekly. The core is less frequent, but security patches are usually released at least once a month.

Why do I have to pay a Setup Fee?
The fee pays for my time to optimize your website with my recommended plugins and security features and to familiarize myself with your site. The fee is waived for customers who have had Shadeflower Studios service their WordPress or Squarespace site within the last 12 months.

How do I submit a Service Request?
Visit this link to www.shadeflowerdesigns.com/wmp-service-request to submit a Service Request. You may submit up to 5 Content Modifications per Service Request. Please be as detailed as possible so that your modifications are done right the first time. But if Shadeflower has misinterpreted your request or it just doesn’t look the way you envisioned, simply let me know and I will amend it as soon as possible at no extra charge.

How soon will my Service Request be posted?
Your Service Request will post within 3 business days. Though if you need something done faster, please indicate that in your Service Request and I’ll do my best to make that happen!

Please note: Shadeflower Studios reserves the right to close business for any reason (i.e., holidays, vacation, family emergencies, bereavement, maternity, hospitalization, or sickness). Whenever possible, you will receive an email notification for a date when all new Service Requests must be submitted. If Shadeflower Studios is closed for an extended amount of time, your monthly membership fee may be prorated or refunded, at Shadeflower’s discretion.

What happens if one month I need more?
Shadeflower Studios wants to make life easier on you. For the occasional overages, you can purchase a Content Modification for $20 or a Service Request (bundle of 5 Content Modifications) for $75. If it makes more sense to upgrade, you can do so at any time without any commitments. Stay at your upgraded plan, or downgrade back to where you were – it’s up to you! Simply reach out to Shadeflower to amend. Note: Service plans are sold by the month and cannot be prorated. Downgrades and Upgrades will be effective after each billing cycle.

What if I decide to cancel?
I hope you will be so happy with my services that you wouldn’t ever dream of canceling – but I understand that things change. Simply reach out to Shadeflower via text or email and I’ll get you squared away. However, if you are dissatisfied with the service in any way, please let me know so that I can get a chance to make it right! Note: Service plans are sold by the month and cannot be prorated. Downgrades and Upgrades will be effective after each billing cycle.

I don’t have a WordPress or Squarespace site – can you still support my website?
Shadeflower specializes in WordPress and Squarespace sites, but is comfortable with many other platforms. Each platform has different needs and requirements. Please contact Shadeflower to see if a plan can be applied to your website.
